These Terms constitute a legally binding agreement between you and NETHERFIRE ENTERTAINMENT, INC.

2. Modification of Terms

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time, or to change, suspend, or discontinue the Services (including but not limited to the availability of any features, databases, or content) by posting a notice on the website or by sending you notice through the Services, via email, or by another appropriate means of electronic communication. The Services and all of their contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Netherfire, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Third Party Services

The Services may permit you to link to other websites, services, or resources on the Internet, and other websites, services, or resources may contain links to the Services. When you access third party resources on the Internet, you do so at your own risk. These other resources are not under our control, and you acknowledge that we are not responsible or liable for the content, functions, accuracy, legality, appropriateness, or any other aspect of such websites or resources.

7. Disclaimer of Warranties

The Services and content are provided on an "as-is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of title, non-infringement, merchantability, and fitness for a particular purpose, and any warranties implied by any course of performance or usage of trade, all of which we expressly disclaim.

8. Limitation of Liability

In no event shall NETHERFIRE and its directors, employees, agents, partners, suppliers, or content providers be liable under contract, tort, strict liability, negligence, or any other legal or equitable theory with respect to the Services for: (I) any lost profits, data loss, cost of procurement of substitute goods or services, or special, indirect, incidental, punitive, compensatory, or consequential damages of any kind whatsoever; (II) any bugs, viruses, trojan horses, or the like (regardless of the source of origination); or (III) any direct damages in excess of (in the aggregate) one hundred U.S. dollars ($100.00).

9. Indemnification

You shall defend, indemnify, and hold harmless us, our affiliates, and each of our and their respective employees, contractors, directors, suppliers, and representatives from all liabilities, claims, and expenses (including reasonable attorneys' fees) that arise from or relate to your use or misuse of, or access to, the Services, content, or otherwise from your User Content, violation of these Terms of Service, or infringement by you or any third party using your account or identity of any intellectual property or other right of any person or entity.

10. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California (including its conflicts of law rules) and the laws of the United States of America. You agree that any dispute arising from or relating to the subject matter of these Terms of Service shall be governed by the exclusive jurisdiction of the state and federal courts of Santa Clara County, California.

11. Termination

We may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately, which may result in the forfeiture and destruction of all information associated with your membership. If you wish to terminate your account, you may do so by following the instructions on the website or in the Services. All provisions of these Terms of Service which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
